Welcome to the applications of centr.tools. These Terms of Use govern your access to and use of our Software-as-a-Service (SaaS) applications and related services. By accessing or using our services, you agree to be bound by these terms.

1. Scope and Contractual Partner

These Terms of Use apply to all users of the applications provided by us (hereinafter "App"). The contracting partner is the operator of centr.tools (hereinafter "Provider" or "we"). Any conflicting terms of the user shall not be recognized unless the Provider explicitly agrees to their validity in writing.

2. Registration and Requirements

Use of the App requires registration and the creation of a user account. The user agrees to provide truthful and complete information required during registration and to update it immediately in case of changes. The user is responsible for maintaining the confidentiality of their credentials and is liable for all activities under their account. The user account is personal and cannot be transferred to third parties.

3. License and Rights of Use

The Provider grants the user a simple, non-exclusive, non-transferable, and time-limited right to use the App for their own business purposes in accordance with this agreement. The user is prohibited from copying, modifying, reverse engineering, decompiling, or otherwise attempting to extract the source code of the App, unless permitted by mandatory law.

The user agrees to use the App solely in accordance with applicable law (specifically Swiss law) and these Terms of Use. It is prohibited to:

The App is provided "as is" and "as available". The Provider endeavors to ensure high availability of the App but does not guarantee uninterrupted or error-free operation. Maintenance work, security updates, or unforeseen events may lead to temporary operational interruptions.

6. Limitation of Liability

The liability of the Provider is excluded to the maximum extent permitted by law in accordance with Article 100 of the Swiss Code of Obligations (CO). Specifically, the Provider is not liable for minor negligence, indirect damages, lost profits, data loss, or consequential damages resulting from the use or inability to use the App.

7. Term and Termination

The contract duration and termination periods are determined by the main agreement concluded between the Provider and the respective client/customer. The right to terminate without notice for good cause (e.g., serious violations of these terms by the user) remains unaffected.

8. Amendments

The Provider reserves the right to amend these Terms of Use at any time with future effect. Amended terms will be communicated to the user in advance via email or directly within the App. Changes shall be deemed approved if the user does not object within 30 days of notification.

9. Governing Law and Jurisdiction

This agreement is governed exclusively by Swiss Law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions. The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms of Use is the registered seat of the Provider in Switzerland. However, the Provider remains entitled to take legal action against the user at their domicile or place of business.
